HYYVE AGENT TERMS AND CONDITIONS
Effective: May 10, 2025

By registering as an agent on Hyyve and submitting bids to represent home sellers on the platform, you (“Agent,” “you,” or “your”) agree to the following Terms and Conditions:

1. Accuracy of Profile and Bids

You affirm that all information provided in your Hyyve profile and within any bid—including your identity, credentials, transaction history, client reviews, and regulatory board status—is accurate, truthful, and reflects your actual qualifications and professional record.

2. Marketing Obligations

If selected by a seller and engaged under a listing agreement, you agree to diligently market the seller’s home using best practices and your professional capabilities to maximize the likelihood of a successful sale at the best price the market will bear.

3. No Circumvention or Disintermediation

You agree not to attempt to circumvent Hyyve by:

  • Making or accepting offers to work with sellers outside of the Hyyve platform.
  • Embedding language in your bids that attempts to disintermediate Hyyve.
  • Attempting to negotiate side agreements or avoid Hyyve’s processes and fees.

Violation of this policy will result in immediate removal from the platform and potential legal action for any resulting damages.

4. Identity Verification

You confirm that your identity verification was lawfully and truthfully completed by you and that all documentation provided is authentic and pertains to you.

5. Misrepresentation and Fraud

Providing false, misleading, or fraudulent information—including fabricated transactions, testimonials, or board status—or engaging in disintermediation will result in your permanent ban from Hyyve and may result in liability for damages or other legal remedies.

6. Bid Commitment and Acceptance

You are under no obligation to bid on any listing. However, once your bid is accepted by a seller and you enter into a signed listing agreement through Hyyve, you are contractually bound to fulfill all obligations under that agreement.

7. Bid Funds Held in Trust

If your bid is accepted, the bid amount you submitted will be held in trust by Hyyve until one of the following occurs:

  • The home sells: Your bid amount is released to the seller.
  • The listing agreement lawfully expires and both parties have fulfilled their obligations: Your bid amount is released to the seller.
  • The seller breaches the listing agreement: Your full bid amount will be refunded to you.

8. Platform Success Fee

You agree that Hyyve will retain 30% of your bid amount as a success fee. This will be deducted before the remaining amount is transferred to the seller, where applicable.

9. No Interest Accrual

You acknowledge that no interest will be earned or paid on any bid funds held in trust by Hyyve.

10. Non-Transferability of Listings

You agree to personally fulfill the obligations under any listing you win. You may not transfer the listing to another agent or representative without the explicit consent of both the seller and Hyyve.

11. Binding Agreements

You agree to be bound by the terms of the executed listing agreement and, where applicable, any Buyer Representation Agreement (BRA) signed through Hyyve.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario. Any legal matters arising under these terms shall fall under the exclusive jurisdiction of Ontario courts.

By submitting bids and operating as an agent on Hyyve, you confirm that you have read, understood, and agreed to be legally bound by these Terms and Conditions.
